Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the PayRoute platform, including our website, mobile applications, and related services (the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you are using PayRoute on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. The PayRoute Service

PayRoute provides field service management tools including route planning, crew management, job scheduling, invoicing, estimates, and on-site payment collection. PayRoute is a technology platform — we provide tools that you use to run your business. We are not a party to the service agreements between you and your customers.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when creating your account. You must promptly notify us of any unauthorized access to your account.

4. Your Data

You retain all ownership rights to the data you enter into PayRoute ("Your Data"), including customer information, service records, invoices, and business data. You grant PayRoute a limited license to use Your Data solely for the purpose of providing the Platform to you. We will not use Your Data for any other purpose.

You are responsible for the accuracy and legality of Your Data. You represent that you have the necessary rights and consents to enter customer information into the Platform and to use the Platform's communication features as described in Section 6.

5. Subscription and Payment Processing

5a. Subscription Fees

PayRoute charges subscription fees as described on our pricing page. Fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method on file for recurring subscription fees. We may change pricing with 30 days' notice.

5b. Cancellation and Refunds

PayRoute does not require long-term contracts. You may cancel your subscription at any time with no cancellation fees or penalties.

  • Monthly plans: Upon cancellation, you will not be charged for the next billing cycle. You retain access through the end of your current billing period.
  • Annual plans: Upon cancellation, you retain access through the end of the current month. You will receive a prorated refund for the remaining unused full months, processed to your original payment method within 5–10 business days.

5c. On-Site Payment Processing

PayRoute facilitates on-site payment collection through third-party payment processors. Payment processing fees are separate from your PayRoute subscription and are set by the payment processor. PayRoute is not responsible for payment processing errors, disputes, or chargebacks between you and your customers. You agree to the payment processor's terms of service in addition to these Terms.

6. Communications and Messaging Compliance

This is an important section. Please read it carefully.

6a. You Are the Sender

When you use PayRoute to send SMS text messages, emails, or other communications to your customers, you are the sender. PayRoute provides the technology platform that transmits these messages on your behalf, but you control the content, timing, recipients, and purpose of all communications. PayRoute acts solely as a conduit for delivering messages you initiate.

6b. Your Compliance Obligations

You are solely responsible for complying with all applicable laws governing electronic communications, including but not limited to:

  • Telephone Consumer Protection Act (TCPA): You must obtain prior express written consent from your customers before sending marketing text messages. You must honor opt-out requests promptly. You must not send messages to numbers on the National Do Not Call Registry without prior consent. You are responsible for verifying that phone numbers belong to the intended recipients.
  • CAN-SPAM Act: Commercial emails must include accurate sender identification, a valid physical postal address, a clear opt-out mechanism, and truthful subject lines. Opt-out requests must be honored within 10 business days.
  • State laws: Many states have additional requirements for electronic communications. You are responsible for understanding and complying with the laws of every jurisdiction in which your customers reside.

6c. Consent Records

You must obtain and maintain records of consent from your customers for receiving communications. These records should include when consent was obtained, how it was obtained (written form, verbal, website opt-in), and what types of communications were consented to. We recommend retaining consent records for at least four years. PayRoute may request proof of consent in the event of a complaint.

6d. Prohibited Messaging

You must not use PayRoute to:

  • Send unsolicited bulk marketing messages or "spam"
  • Send messages to purchased, rented, or harvested contact lists
  • Send messages to individuals who have not given consent
  • Misrepresent your identity or the purpose of the message
  • Send messages containing illegal, deceptive, or fraudulent content
  • Send messages outside of permitted hours (before 8 AM or after 9 PM local time)

6e. Indemnification for Communications

You agree to indemnify, defend, and hold harmless PayRoute and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to communications you send through the Platform, including but not limited to claims under the TCPA, CAN-SPAM Act, or any state consumer protection law.

7. Acceptable Use

You agree not to use PayRoute to:

  • Violate any applicable law or regulation
  • Infringe on the rights of others
  • Transmit malicious code or interfere with the Platform
  • Attempt to gain unauthorized access to our systems
  • Use the Platform for any purpose other than managing your field service business
  • Resell, sublicense, or redistribute access to the Platform

We reserve the right to suspend or terminate your account for violations of these Terms.

8. Intellectual Property

PayRoute and its associated trademarks, logos, and content are owned by PayRoute. You may not copy, modify, distribute, or create derivative works based on our Platform without our written permission. Your use of the Platform does not grant you any ownership rights in the Platform or its content.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYROUTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO PAYROUTE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. General Indemnification

You agree to indemnify and hold harmless PayRoute from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, your violation of any applicable law, or any dispute between you and your customers.

12. Termination

You may cancel your account at any time. We may suspend or terminate your account for violation of these Terms with or without notice. Upon termination, your right to use the Platform ceases immediately. We will retain Your Data for 90 days after termination, during which time you may request an export. After 90 days, Your Data will be permanently deleted.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform at least 30 days before they take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
